GOVERNANCE AT FORESEA

Foresea Holding S.A. (Foresea) is a privately held company, and its operating strategy is guided by institutional laws and decrees that govern the oil and gas industry in Brazil and worldwide, as well as its own guidelines and documents approved in Assembly by its Board of Directors.

Foresea has strong guidelines of corporate governance practices in place.

The Board of Directors of Foresea is responsible for directing and guiding the business in economic, social, and environmental matters, establishing strategic guidelines that will be executed by the Executive Board. It’s also the Board’s responsibility to elect the Executive Director and the company CEO as well as evaluating its performance. The Board of Directors resolutions are based on a long-term view, focused on generating value and solid returns to its shareholders and investors.

Foresea’s CEO is responsible for its executive leadership who, together with members of his team, manages and represents the company.

Thomas Burke (Chair)

Dr Burke has served as Chair of the Board of Directors since June 2023.

Since January 2022, Dr Burke has been an Operating Partner at SCF Partners, a private equity company, focused on services, products, and technology in the energy business.

Dr Burke served as President, CEO and Director of Rowan Companies PLC and then Valaris PLC from April 2014 to September 2021. He served as Chief Operating Officer of Rowan Companies from July 2011 to April 2014. Dr Burke served as Chief Executive Officer and President of LeTourneau Technologies from December 2009 to June 2011. From 2006 to 2009, Dr Burke was a Division President at Complete Production Services, an oilfield services company, and from 2004 to 2006, he served as its Vice President for Corporate Development. Prior to that, he worked at McKinsey & Company and Schlumberger.

Dr Burke has been on the Board of ARO Drilling since October 2017.

He received a DPhil (PhD) in Engineering Science (Robotics) from Trinity College, the University of Oxford, a Bachelors in Engineering with honours from the Heriot-Watt University in Scotland, and an MBA from Harvard Business School, where he was awarded a Baker Scholarship.

David Fink

Mr. Fink joined Contrarian in 2019 and is a Managing Director. Mr. Fink focuses on distressed and special situation corporate opportunities globally and has led a number of the firm’s sovereign and quasi-sovereign investments. Prior to joining Contrarian, from 2016 to 2018, Mr. Fink was an Analyst at Perry Creek Capital, where he specialized in distressed investments in Argentina and the energy and power sectors. From 2011 to 2016, Mr. Fink was an Investment Associate at Bridgewater, where he held various investment positions. Mr. Fink began his career as a Research Analyst specializing in emerging market sovereign debt and currencies. In his last role, he worked as a Senior Analyst on a team responsible for the oversight of Bridgewater’s portfolio construction, risk controls, and trade management processes. Mr. Fink graduated from Dartmouth College Phi Beta Kappa and summa cum laude with a BA in Economics and played on the Men’s Varsity Tennis Team. Mr. Fink is also a CFA charterholder.

Jean-Michel Detournay

Mr. Detournay is an Independent Director with a broad international experience as Senior Finance Executive in a multinational environment in Luxembourg, Belgium, Brazil and USA. He also has a career of Finance generalist with long expertise in Tax, M&A, Corporate Finance, CFO of specialty business, Management of Financial and Holding companies, Reinsurance captives (Lux) and Insurance Mutual (B).

Mr. Detournay provides Directorship and Management services to corporate multinationals, reinsurance captives and insurance mutuals. He brings a high sense for value creation, with a conceptual, lateral, and creative thinking.

From 1985 to 2017 Mr. Detournay has served the company Solvay in different countries and positions, such as Brazil, Belgium, USA, and Luxembourg. He had experience as VP of Finance, project leader in global tax restructurings, finance leader of M&A projects worldwide with negotiations of acquisitions, divestments, and joint ventures.

Mr. Detournay is a Business Engineer (Finance) and holds an Executive Masters in Tax Management, both from Solvay Business School, Free University of Brussels.

Michael Watchorn

Mr. Watchorn is a Principal of Seapoint Group, LLC.  Previously, Watchorn served as a Senior Vice President and Portfolio Manager in both the Global Corporate Credit and Distressed Credit groups of Pacific Investment Management Company, the latter of which he founded in 2009. Prior to that he served as a Managing Director and High Yield Bond Portfolio Manager at Oaktree Capital Management. He is a Chartered Financial Analyst and has served as a Visiting Lecturer of Economics at Claremont McKenna College. Watchorn currently serves on the board of directors of Westmoreland Mining Holdings LLC.

Mr. Watchorn earned his undergraduate degree in Electrical Engineering from the University of California, San Diego, earned an M.S. degree in Electrical Engineering from the University of Southern California, and earned an M.S. degree in Business Administration from the University of Chicago. Mr. Watchorn is also a CFA charterholder and holds a NACD Directorship Certification.

Pierre Margue

Pierre Margue has been the sole manager of PMG Consulting since March 2021.  He has been a Director of the Luxembourg Institute of Directors (ILA) since 2017, and has been a member of ILA’s Executive Committee between 2005 and May 2023. Mr. Margue has also chaired the working Group on Corporate Governance of the Luxembourg Stock Exchange since 2017, group of which he became a member in 2005. He is the non-Executive Chairman of FEC SA and a Director of Knight Therapeutics SA. From January 2002 to October 2020, he has been Secretary to the Board of Directors of SES, the international satellite company, as well as of its Audit and Risk Committee and its Executive Committee. He combined those positions with the Chair of the group’s Compliance Committee and with the function of Security Officer. Prior to joining SES, Mr. Margue held various positions in the financial industry at Banque de Luxembourg (1985-1991), Cedel, today Clearstream (1991-1996) and Cetrel, today Worldline (1996-2001). Mr. Margue graduated from the London School of Economics and Political Science with an LL.M. and holds a Master in Private Law, Business Law from the University of Strasbourg.

Luiz Reis

Mr. Luiz Reis has over 30 years of experience in Infrastructure and Structural Finance and is a founding partner at Lakeshore Partners since 2011, where he has been the leading partner of several transactions in the infrastructure sector.

Mr. Reis started his career at ABN AMRO in 1991 and worked from 1994 to 1997 at ABN AMRO North America. From 1997 to 2011, he held several leading positions for client’s coverage, being executive director of Banco Real and head of Corporate & Investment Banking division at Banco Santander in Brazil.

During this period, Mr. Reis participated in the main infrastructure transaction in the Brazilian market, including Marlim (1998), NovaMarlim (2001), Macaé Merchant (2001), Brasil PHC (2006), Termonorte (2008), Candeias (2009) and Renova (2010). Mr. Reis has also led ABN AMRO’s efforts in the Inco Acquisition by Vale (2006), and Chaparral acquisition by Gerdau (2007).

Mr. Luiz Reis holds a bachelor’s degree in economics from University of Brasilia and an MBA from JL Kellogg School of Management.

Timothy Pohl

Mr. Pohl is the owner of TRP Advisors, LLC, where he provides strategic advice to companies, financial institutions and private equity firms. Mr. Pohl also serves as an Independent Director for a variety of companies.

Previously, Timothy Pohl served as Managing Director of Lazard, Freres & Co LLC for over a decade. He advised corporations and other constituents in distressed M&A, complex restructurings and related transactions. Before joining Lazard, Mr. Pohl was the co-head of the worldwide corporate restructuring practice at Skadden, Arps, Slate, Meagher & Flom.

Mr. Pohl has extensive knowledge, having represented, both as an investment banker and attorney, large domestic and multi-national corporations, private equity sponsors, buyers and sellers of distressed assets, lenders, bondholders, hedge funds, institutional noteholders, and creditor committees.

Having advised across a wide range of industries, including Oil & Gas, Power & Energy, Retail, Real Estate, Telecommunications, Technology, Airlines and Transportation, Manufacturing, Consumer Products, Financial Institutions, and Automotive, Mr. Pohl holds a joint degree at the University of Chicago Law School and a Bachelor of Arts at Amherst College.

Rogerio Luis Murat Ibrahim

Rogerio Ibrahim was named Chief Executive Officer of Foresea in June 2023. Mr. Ibrahim has over 10 years of offshore drilling and oil & gas industry experience and holds more than 30 years of experience as Chief Financial Officer.

He served as Chief Financial Officer of Ocyan from January 2013 to May 2023, after serving as CFO of several companies and business areas of the Novonor Group (former Odebrecht Group) such as Engineering & Construction, Energy & Power and Infrastructure Investments from 1990 to May 2023. He joined the group in 1988 and held several managerial roles in controlling, treasury, investments decision, project and corporate finance. Prior to that, Mr. Ibrahim was responsible for the business planning of Companhia Vale do Rio Doce.

Mr. Ibrahim earned his Bachelor’s degree in Civil Engineering from Instituto Militar de Engenharia (IME) and a degree in Business Administration from COPPEAD – UFRJ.

Heitor Gioppo

Heitor Gioppo holds over 42 years of experience in the offshore drilling industry. He was named Executive Vice President and Chief Operating Officer of Foresea in June 2023 after serving as Drilling Vice-President of Ocyan from 2014 to May 2023.

Prior to that, Mr. Gioppo worked for 8 years at Sevan Drilling and Sevan Marine serving different roles as Country Manager and Operations Director responsible for the drilling and production operations in Brazil, and for drilling rigs construction in China. He also worked for 7 years as Project Manager of Schlumberger including a ConocoPhillips heavy oil project in Venezuela.

Mr. Gioppo started his career in the offshore industry in 1981 when he joined Odebrecht Perfurações Ltda, the prior oil & gas company of the Novonor Group (former Odebrecht Group), where he spent 17 years, of which 5 years in a project in India.

He served as the president of the International Association of Drilling Contractors – IADC in Brazil from 2020 to 2021.

Mr. Gioppo holds a Bachelor’s degree in Petroleum and Mechanical Engineering, a postgraduate degree in Business Management from Fundação Getúlio Vargas (FGV), a specialization in Corporate Finance from London School of Economics (LSE) and is certified by the Project Management Institute – PMI.

Patrícia Ruiz

Ms. Patricia Ruiz has over 16 years of experience in the Oil & Gas Industry and was named Vice President and Chief Financial Officer in June 2023. Prior to that, Ms. Ruiz held several positions of increasing responsibility in Ocyan including Head of Investor Relations, Strategic Planning and Market Intelligence as well as Project Finance, Corporate Finance and Restructuring. In 2022 she joined Novonor to serve as the Head of M&A and other strategical financial matters leading important transactions in different industry segments such as Petrochemical, Oil & Gas, Hydro Power Plants, Multi-Purpose Arenas, among others. She worked from 2005 to 2009 for large Brazilian conglomerates namely Schahin Group, Companhia Vale do Rio Doce and Editora Abril in different positions.

Ms. Ruiz holds a double major  in Business Administration and Economics from Pontificia Universidade Católica de São Paulo (PUC-SP) and a post graduate degree in Corporate Finance from IBMEC in Rio de Janeiro.

Mario Nano

Mr. Nano has over 35 years of experience in consulting and auditing firms and more than 8 years of oil & gas industry experience. Mr. Nano was named Vice President, Controllership and Procurement Officer in December 2025 after serving as Chief of People & Administrative Officer since June 2023 and after serving as Controller of Ocyan from October 2014 to May 2023.

Previously, he served as advisory services partner of EY (former Ernst & Young) from January 2012 to October 2014, after working for more than 25 years as consultant, advisor, and independent auditor, leading and executing several organizational and administrative projects for Brazilian and foreign companies with extensive experience in petrochemical, energy and engineering & construction segments. He started his career at Arthur Andersen as auditor and advisor for Brazilian listed and unlisted companies.

He is a Member of Fiscal Council of Vexty, a private pension plan that has Foresea as one of its sponsors.

Mr. Nano holds bachelor’s degrees in Business Administration and Accounting and a postgraduate degree in Accounting. He also has a long-term experience as professor in undergraduate and MBA programs as well as instructor in several training programs.

Carolina Caetano

Carolina Caetano has broad experience in the oil & gas and engineering & construction segments. She was named Vice President and General Counsel of Foresea in June 2023, after serving as Deputy General Counsel of Ocyan, leading different areas including strategic litigation, tax, structured finance and business support from 2018 to May 2023.

She also worked for 5 years as in-house counsel at the engineering & construction company of Novonor group (former Odebrecht group) acting as business and general legal support, including compliance matters.

Prior to that, she served as Tax Manager of Ocyan, responsible for all tax matters, including domestic and international tax planning, from 2008 to 2013.

Mrs. Caetano also worked at PwC in tax and audit from 2003 to 2008 and acted as a litigation lawyer from 2000 to 2003. Mrs. Caetano has a Bachelor’s Degree in Law from UNIFACS – Universidade Salvador.

Marco Aurélio Fonseca

Marco Aurelio Fonseca has over 25 years of experience in Sustainability & ESG in the oil & gas industry in Brazil and abroad in several managerial and executive positions, participating in the development of business strategies in safety, health, environment, social responsibility, climate change, and energy transition.

He was named Vice President and Chief Sustainability Officer of Foresea in June 2023, after more than 12 years as Vice President of Sustainability of Ocyan, leading the ESG agenda from 2019 to 2023. Prior to that, Mr. Fonseca served as HSSE Manager at SBM Offshore from 2004 to 2011 in Brazil and as HSSE Fleet Manager from 2009 to 2011 in Europe. He also had various safety and environmental roles in Transocean, Magnesita and Odebrecht Oil & Gas.

Mr. Fonseca is an associated and certified safety professional (ASP/CSP) by the American Board of Certified Safety Professionals (BCSP) as well as certified in petroleum processing technology by OPITO in the United Kingdom. He has also served as coordinator of the QHSE Committee of ABESPetro (Brazilian Petroleum Association for Service Provider Companies) since 2013.

Mr. Fonseca holds a Bachelor’s Degree in Electrical Engineering and Occupational Safety with specialization in Environmental Management and Process Safety.

Hygo Souza

Mr. Souza has over 20 years of experience in information technology, administration, innovation, and strategic management, with a strong track record leading complex, large-scale initiatives in highly challenging environments. He holds a bachelor’s degree in information technology from the Federal University of Espírito Santo, an executive MBA in strategic business management from Fundação Getulio Vargas (FGV) and project management certified. Mr. Souza joined the company at its emerging as People & Management Officer, playing a key role in the company’s organizational structuring, and was later appointed VP Administrative & People Officer. Throughout his career, Mr. Souza has led large-scale industrial and infrastructure projects, holding end-to-end administrative and operational responsibilities encompassing people management, corporate services, facilities, and technology. His experience includes the leadership of multidisciplinary teams in complex, high-intensity environments, integrating governance, operational execution, and workforce management at scale. His expertise spans organizational structuring, IT governance, digital transformation, cybersecurity, and the alignment of people, operations, and business strategy. In an international context, he has led the mobilization and management of infrastructure across Brazil, Mozambique, and the Dominican Republic, in addition to coordinating synergy initiatives involving organizational integration, service consolidation, process implementation, and operational transitions. These initiatives supported geographically dispersed operations across Africa, Latin America, and Europe, reinforcing operational efficiency, scalability, and organizational resilience.

Gilberto Couto

Gilberto Couto was appointed Chief Compliance Officer of Foresea in June 2023. Mr. Couto has more than 14 years of experience in compliance, corporate fraud, internal audit, risk management, internal investigations and data analysis.

Prior to joining Foresea, he served as Compliance Manager of Ocyan from 2017 to 2019, when he took over the position of Chief Compliance Officer until May 2023.

He was responsible for the Internal Audit and Ocyan’s Integrity Program which was approved by U.S. Department of Justice and Petrobras in 2020 and certified by ISO37001 in 2021. Mr. Couto is also a member of the Compliance Committees at IBP (Brazilian Oil and Gas Institute) and ICRio (Rio de Janeiro Compliance Institute). Mr. Couto holds a Bachelor´s Degree in Business Administration (CEFET-RJ) and several compliance specializations.
